This session explores how to draft contracts that communicate effectively to lawyers, business parties, and judges who may interpret the document. Attendees will learn strategies for avoiding dense language, using active voice, and ensuring conspicuous terms meet legal standards.
This session covers frequent drafting pitfalls including improper definitions, redundant language, and ambiguous modifiers. Participants will examine how grammar, punctuation, and word choice can become outcome-determinative in litigation.
A brief intermission allowing participants to refresh before the final substantive session. Use this time to review notes and prepare questions.
This comprehensive session examines how to protect clients through strategic drafting of choice-of-law and choice-of-forum provisions, including enforceability requirements and public policy limitations. Attendees will also learn best practices for indemnification, damage limitations, and other risk allocation mechanisms.
