This class is entitled “Purchase and Sale Agreements: Best drafting practices to assured business transactions” is geared toward attorneys who find themselves drafting agreements, whether Asset Purchases, Share Purchases or Merger documents or some combination of the above. It is intended for a broad audience but generally for attorneys with some understanding of contractual principles. The course will cover drafting, from the initial contemplation of the transaction including Letters of Intent, through to the close of the transaction and compiling closing binders. The class will cover these areas and many others both generally and specifically.

Julie D. Globus is a partner with the law firm of Sabharwal, Globus & Lim LLP, in West Nyack, NY, a firm she formed in 2006. Her practice’s focus is representing clients in the purchase and sale of debt in distressed companies, distressed assets, claims and private equity. Within that context she conducts extensive due diligence and financial review. She also takes on smaller startups and individual clients and has recently expanded her practice into the universe of cryptocurrency and NFT’s.
Ms. Globus is also an associate member of the Association of Certified Fraud Examiners, working toward obtaining her CFE.
Ms. Globus earned her B.A. from Skidmore College, her M.A. from Hebrew University of Jerusalem, and her J.D. degree from Rutgers State University of New Jersey-Newark Campus. She is an avid lecturer in the area of drafting agreements, negotiations skills and tactics, due diligence, ethical considerations and other areas collateral to her practice. When not working and parenting, Ms. Globus is a prolific blogger and writer and an avid cyclist and triathlete. Ms. Globus has 8 completed 70.3 Half Iron-Man races under her belt, one endurance triathlon and the relay leg in an ultra-marathon. Ms. Globus trains regularly in all three triathlon disciplines and is looking to complete a Race Across America qualifying race in the next year or two.
