This session examines the key factors in choosing between member-managed and manager-managed structures, including how LLC size affects this decision. Attendees will explore voting standards ranging from simple majority to unanimous consent, fiduciary duties among members, and state variations regarding manager and member responsibilities.
This comprehensive session addresses the complexities of voluntary and involuntary membership transfers, buyout triggering events, valuation methods, and capital call procedures. Participants will also learn about resolving business deadlocks through mediation and buy-sell triggers, profit and loss allocations under IRC §704(b), distribution strategies, and critical tax considerations including basis tracking and phantom income risks.
Requirements
The Alabama State Bar MCLE Commission requires attorneys to complete 12 credits, including 1 ethics, by December 31 of each year. All credits must be reported by February 15 of the following year. A maximum of 12 credits, including 1 ethics credit, may be carried over for 1 year only.
