Re-Running the Entity Memo: Choice of Entity After the One Big Beautiful Bill Act

Entity memos written before the 2025 Tax Act may now point clients the wrong way. Model C corporation versus pass-through outcomes, apply Section 199A and the SALT cap, trace QSBS eligibility, and correct research-expensing methods under Sections 174 and 174A.

Course Overview

The Entity Memo You Wrote Before July 4, 2025 No Longer Holds

2026-11-20 14:30:00

The One Big Beautiful Bill Act (P.L. 119-21, signed July 4, 2025) changed the inputs behind every choice-of-entity memo. The 21% corporate rate is permanent. The 20% Section 199A deduction is permanent. Bonus depreciation is permanent. The SALT cap is now $40,000, reverting to $10,000 in 2030.

Convert entity forms without checking BIG tax, AAA distributions, and F reorganization mechanics, and you walk into traps. Miss a redemption or an active-business failure, and a founder can lose Section 1202 benefits. Use an impermissible Section 174 or 174A method, and the transition period to correct it has closed. Overlook state non-conformity, and a parallel capitalization obligation appears.

You leave able to model entity choice across distribution, reinvestment, and exit scenarios. You can apply the tiered QSBS holding-period structure and re-run the entity memo with the new numbers. The takeaway is practitioner judgment and work product: which errors to flag, which elections to evaluate, and which deadlines to calendar.

Key topics that will be covered

01
Rates and Section 199A
Run the integrated rate comparison using the permanent 21% corporate rate and the permanent 20% Section 199A deduction, including SSTB classification, the expanded phase-out thresholds, and the new $400 minimum deduction.
02
SALT, PTET, and States
Decide when a PTET election still matters under the $40,000 SALT cap (reverting to $10,000 in 2030), and flag the parallel capitalization obligation when a state does not conform to Section 174A.
03
Modeling Entity Choice
Model distribution, reinvestment, and exit scenarios to determine when C corporation or pass-through treatment produces the lower integrated tax burden.
04
Conversion Traps
Navigate BIG tax, AAA distributions, and F reorganizations when moving between entity forms, and re-run the entity memos drafted before or immediately after OBBBA.
05
QSBS Tracing and Disqualifiers
Trace Section 1202 eligibility from inception through exit under the $75 million gross-asset cap, $15 million per-issuer exclusion cap, and tiered holding periods, and catch redemption poisoning, active-business failures, and rollover errors before they disqualify a founder.
06
Research Expensing Fixes
Correct an impermissible Section 174 or 174A method now that the transition period has closed, apply Rev. Proc. 2026-32 to the five-year eligibility bar and the automatic change for post-2025 years, and check partnership-level limits and what survives the closed retroactive window.

The Pass-Through Versus C Corporation Decision After the 2025 Tax Act

This session examines how the One Big Beautiful Bill Act (P.L. 119-21, signed July 4, 2025) permanently reshaped the pass-through versus C corporation choice-of-entity calculus. Attorneys will work through the new rate architecture — including the permanent 21% corporate rate, permanent 20% Section 199A deduction, revised SALT cap, and permanent bonus depreciation — and learn how to model entity choice across distribution, reinvestment, and exit scenarios. By the end of the session, attendees will be able to identify when C corporation or pass-through treatment produces a lower integrated tax burden and flag the conversion traps and planning errors that practitioners are making right now.

Tracing QSBS Eligibility and Repairing Research-Expensing Positions After the 2025 Tax Act

This session examines two high-stakes structural changes enacted by the One Big Beautiful Bill Act (P.L. 119-21): the expanded Section 1202 QSBS exclusion framework and the restoration of immediate domestic R&E expensing under new Section 174A. Attorneys will learn how to trace QSBS eligibility from inception through exit, identify common disqualifying errors, and navigate the new Section 174 research and experimentation expenses landscape for post-2025 tax years. Attendees will leave able to apply the tiered holding-period structure, evaluate retroactive elections for small businesses, and flag state-conformity exposure.
