Effective July 1, 2026, Chapter 605’s Uniform Protected Series Provisions are live in Florida. An existing Florida LLC can now establish one or more protected series. The result is a new structure for segregating businesses, assets, and liabilities within a single LLC framework — instead of a separate LLC for each business or asset.

The protection is conditional. Establish a series without the required member approval, designation, and Sunbiz filings, and the shield may never attach. Commingle assets, records, contracts, or operations, and the statutory liability separation erodes. Dissolve, merge, or relocate a series without a plan, and practical risks reach the parent LLC and every other series.

Requirements

The Alabama State Bar MCLE Commission requires attorneys to complete 12 credits, including 1 ethics, by December 31 of each year. All credits must be reported by February 15 of the following year. A maximum of 12 credits, including 1 ethics credit, may be carried over for 1 year only.
