Course Overview

Every Provision Eventually Faces a Judge

LLC operating agreements get drafted in the optimism of formation and tested in the friction of ownership disputes, and the gap between those two moments is where most litigation lives. Manager-managed versus member-managed structures, fiduciary duty modifications, voting thresholds, deadlock provisions, transfer restrictions, and exit rights all read cleanly on paper — until a books-and-records demand, a breach of fiduciary duty claim, or a deadlock challenge puts them in front of a court that may or may not enforce them as written. Every corporate, business, and litigation lawyer touching closely held entities is exposed: the drafting choices made today determine whether tomorrow’s dispute settles in a conference room or escalates to dissolution. This program pairs the drafting and the enforcement perspectives in a single arc — formation and structural planning, tax-driven ownership design, governance allocation, fiduciary modification, and exit mechanics in the first hour, followed by judicial interpretation, governance disputes, books-and-records litigation, breach claims, dissolution remedies, and drafting lessons informed by recent disputes in the second. Attendees will be able to draft with litigation foresight and litigate with drafting awareness.
