When Lawyers Move: Leaving a Firm and Clearing the Lateral Hire

A lawyer’s exit or a lateral arrival can expose firms to fiduciary claims, ethics violations, and disqualification. Learn to give proper client notice, handle client files correctly, spot pay structures that violate Model Rule 5.6, and build ethical screens that hold up under court scrutiny.

Course Overview

Every Lateral Move Puts Two Firms at Ethical Risk

2026-11-10 14:30:00

Lawyers change firms more often than ever. Bar opinions and court decisions have raised the stakes for the lawyer who leaves and the firm that hires. North Carolina 2025 FEO 1, Texas Opinion 699 (2024), and NYC Bar Formal Opinion 2025-3 now speak directly to departures. On the hiring side, recent California and New Jersey decisions test whether ethical screens actually hold.

Block or delay client notice, and the firm creates its own ethics problem. Solicit clients before announcing, and the departing lawyer faces fiduciary and tortious interference exposure. Copy the wrong files, and ownership becomes a dispute. Penalize departure through pay, and Model Rule 5.6 comes into play. Hire a lateral without vetting, and a substantially related matter walks in the door. Build a weak screen, and the firm can be disqualified.

You walk out with a lateral screening checklist and a framework for client notice and file transfer. You also get a plan for opposing or conceding a disqualification motion. The panel turns ABA Formal Opinions 99-414 and 489 and current court decisions into clear guidance. That jurisdiction-specific judgment is exactly what a template or an AI summary cannot supply.

Key topics that will be covered

01
Client Notice Duties
Determine who must notify clients, when notice goes out, and what the letter should say under North Carolina 2025 FEO 1 and Texas Opinion 699 (2024), including what to do when the firm refuses contact or written notice.
02
Pre-Departure Conduct Limits
Identify where pre-departure planning crosses the fiduciary line into tortious interference exposure, from soliciting clients, attorneys, and staff to minimum notice-of-departure requirements.
03
Client File Rights
Decide who owns the file, what the firm may keep, and what the departing lawyer may copy before leaving, including form files and contact lists.
04
Rule 5.6 Financial Disincentives
Spot post-departure restrictions and pay structures that violate Model Rule 5.6, using recent Washington case law, NYC Bar Formal Opinion 2025-3, and jurisdictional variations.
05
Substantial Relationship Threshold
Apply Rule 1.9 as the gating test before imputation or screening, then work through the ABA Model Rule 1.10(a)(2) framework as different jurisdictions apply it.
06
Screens and Disqualification Motions
Build an ethical screen that survives court scrutiny and decide whether to oppose or concede a disqualification motion, guided by recent New Jersey and California decisions.

Handling a Lawyer’s Departure: Client Notice, Files, and Firm Restrictions

This session explains what a lawyer and a firm must do when the lawyer leaves. It covers who must tell clients and when, who owns client files and how they move, and which post-departure restrictions and financial penalties are allowed under Model Rule 5.6. Attendees will learn how to give proper client notice, handle files correctly, and spot pay structures that violate the ethics rules. The session relies on various ethics opinions, including ABA Formal Opinions 99-414 and 489, North Carolina 2025 FEO 1, Texas Opinion 699 (2024), and NYC Bar Formal Opinion 2025-3 to give a current framework.

Screening the Lateral Hire and Defeating the Disqualification Motion

This session follows a lateral hire conflict from start to finish: deciding whether a prior matter is “substantially related,” applying each state’s screening rules, building an ethical wall that will hold up under court scrutiny, and responding when the other side moves to disqualify the firm. Attendees will learn how to vet lateral candidates, set up screens that comply with ABA Model Rule 1.10(a)(2) and court decisions, and use recent court decisions as a guide in responding when a motion is filed. Attendees leave with a screening checklist, tips to lower disqualification risks, and a plan for opposing or conceding a motion.
