Almost every client these days, particularly start-ups, is struggling with the creation and exploitation of intellectual property. In addition, many law firms are now offering home-grown software and cloud services for use by their clients. In this environment, lawyers must understand the basics of intellectual property and how to protect that property. This includes potentially assembling an “IP Starter Kit” for startups. In this session, participants will receive a synopsis of various intellectual property rights, how they differ, and common forms of protection and exploitation.

Session III – Basics of US Securities Law – Micah Miller
Companies large and small need to raise money to do business. Many raise money from investors in financing transactions that result in the creation of “securities.” Securities can be beneficial investments, but they also can involve substantial financial risk. U.S. law balances the needs of businesses for capital with the need for investor protection by (1) requiring disclosure of information concerning securities; and (2) prohibiting deceit, misrepresentations, and other fraud in the sale of securities. In connection with raising capital, this course will cover the basics of securities law.

Lynda Artesani founded Artesani Accounting and is co-founder of The Proper Trust. She is a highly respected accountant specializing in the legal industry, with over 25 years of experience. Lynda’s accolades include being named QBO ProAdvisor of the Year in 2021 and serving on the Intuit Accountant’s Advisory Board 2018-2019. She is an Advanced Certified ProAdvisor and a LeanLaw Accounting Pro.
Dedicated to educating others in the niche field of legal accounting, Lynda leads the Accountants Law Lab mastermind group and co hosts the Accountants Law Pod podcast. Michael R. Overly | Foley & Lardner LLP
Michael Overly is a partner in Foley & Lardner’s Information Technology & Outsourcing Group and Privacy, Security and Information Management Groups. He is one of the few practicing lawyers who has satisfied the rigorous requirements necessary to obtain the Certified Information System Auditor (CISA), Certified Information Systems Security Professional (CISSP), Information Systems Security Management Professional (ISSMP), Certified in Risk and Information Systems Controls (CRISC), Certified Outsourcing Professional (COP), and Certified Information Privacy Professional (CIPP) certifications. He writes and speaks frequently regarding negotiating and drafting technology transactions and the legal issues of technology in the workplace, e-mail, and electronic evidence. He has written numerous articles and books on these subjects and is a frequent commentator in the national press (e.g., the New York Times, Chicago Tribune, Los Angeles Times, Wall Street Journal, ABCNEWS.com, CNN, and MSNBC) and has testified before the U.S. Congress regarding online issues.
Micah D. Miller | Freeman Law, PLLC
Micah Miller represents companies and entrepreneurs in connection with transactional, corporate, and litigation matters. While Mr. Miller’s clients entrust him with a broad range of matters, his work is concentrated on company formation, acquisitions, financings, corporate agreements, and commercial contracts. Additionally, he has recently gained significant experience representing construction- industry contractors in disputes involving federal projects.
Having worked as a foreign legal consultant in Buenos Aires, Argentina from 2013 to 2018 after earning an MBA at IAE Business School (Buenos Aires) in 2012, Mr. Miller leverages his international legal experience and Spanish-language skills to represent clients from Latin America who invest or do business in the United States. Mr. Miller currently resides and practices in Austin, Texas. He began his legal career at a prestigious law firm in his hometown of El Paso, Texas, where his practice focused on the areas of general business, real estate and bankruptcy, including both litigation and transactional matters.
Through his educational background and work experience, Micah believes he has developed a unique capacity to understand and resolve a broad range of legal problems, especially those faced by business concerns and individuals engaged in cross-border activities. He prefers a no non-sense approach to practicing law, values ethical and cost-effective services, and believes in caring for his clients by striving to create and preserve value.
As matters of business, public policy and law are frequently interwoven, Mr. Miller believes that his practice benefits from his business awareness spanning finance, marketing, management, strategy, and governmental affairs. While in law school Micah interned for Texas State Senator Judith Zaffirini, analyzing and organizing legislation affecting the Texas Judiciary and the Texas Ethics Commission.
After graduating from the University of Texas at El Paso with a B.A. in political science, he served as an intern for the State Department at the Narcotic Affairs Section of the U.S. Embassy in Lima, Peru. In addition to having worked in Argentina and Peru, Micah lived briefly in Bolivia and Mexico, where he has also traveled extensively. Micah is fully professionally fluent in Spanish.
Janet Falk | Falk Communications and Research
Janet Falk, Ph.D., is a Communications professional with more than 30 years of experience in-house, as a consultant and at public relations agencies. As Chief Strategist at Falk Communications and Research (www.JanetLFalk.com), she advises attorneys at small law firms and with a solo practice on Media Relations and Marketing Communications to: attract new clients, remain top of mind with prior clients, keep in touch with referral sources, help recruit associates, generate a news story about litigation that puts pressure on opposing counsel and achieve business goals. Janet leads workshops on these topics and advises on media relations, website, LinkedIn profile, articles in non-legal industry trade publications and client newsletters, among other areas. She has published articles on Media Relations and Marketing in The New York Law Journal, The New Jersey Law Journal and Marketing the Law Firm and is a frequent speaker on webinars and podcasts about Public Relations, Networking and Legal Marketing.
Craig Dobson | Dobson Law LLC
Craig Dobson provides ethics advice to lawyers, represents lawyers in disciplinary matters, and practices immigration law at Dobson Law LLC. He has a Bachelor of Arts in philosophy from Furman University and a Juris Doctor, cum laude, from New England School of Law. During law school, he received CALI awards in both the Law and Ethics of Lawyering and International Business Transactions and served as Editor-in-Chief of the New England Journal of International and Comparative Law. He previously served as Georgia UPL Liaison for the AILA’s Georgia-Alabama Chapter and was appointed by the Supreme Court of Georgia to serve as Chairperson of the District 1 UPL Committee for the State Bar of Georgia from 2014 to 2017.
He is currently a member (Chair from 2018-2021) of AILA’s National Ethics Committee and is a member of the Association of Professional Responsibility’s (APRL) Cross-Border Practice Subcommittee that resulted in proposed amendments to current ABA multijurisdictional practice rules. He is currently APRL liaison to the ABA Standing Committee on Public Protection and the Provision of Legal Services. Additionally, he is Chair of AILA’s Lawyer Well-Being Committee, a member of the New York City Bar Association’s Mindfulness & Wellbeing Committee in Law Committee, and Co-Chair of AILA New York’s Ethics, Mindfulness, & UPL Committee. In September 2017, he became one of the first National Board- Certified Health & Wellness Coaches.
