Program Summary

Private equity transactions in the healthcare industry involve a myriad of issues not encountered in transactions with other industries. Federal and state laws, rules and regulations specific to healthcare such as licensure concerns, the corporate practice of medicine doctrine, fraud and abuse, confidentiality and HIPAA are healthcare specific and must be recognized early in the process. Payer concerns, employment, antitrust and other miscellaneous matters unique to the healthcare industry entity will also impact the ability to structure a successful transaction. This program will analyze possible structures that may be utilized, the impact of healthcare specific legal and financial concerns on the transaction and the benefit of healthcare specific due diligence to delve into and identify issues that must be addressed.
